  1. DO NOT USE THIS PRODUCT UNTIL LICENSEE CAREFULLY
  2. READ THE FOLLOWING TERMS AND CONDITIONS.  USING
  3. THIS PRODUCT INDICATES THAT THE SINGLE END-USER OF 
  4. THE ENCLOSED SOFTWARE (THE "LICENSEE") ACCEPTS THESE
  5. TERMS AND CONDITIONS.

  9. ENTIRE AGREEMENT
  10. Licensee acknowledges that Licensee has read this agreement 
  11. and understands this agreement (the "Agreement") is the final, 
  12. complete and exclusive statement of the entire agreement between 
  13. Janus Systems SA de CV ("Janus Systems") and Licensee.  This Agreement
  14. supersedes any prior and contemporaneous proposals, purchase 
  15. orders, advertisements, and all other communications in relation 
  16. to the subject matter of this agreement, whether oral or written.  
  17. No terms or conditions, other than those contained in this 
  18. Agreement, and no other understanding or agreement which in any 
  19. way modifies these terms and conditions, shall be binding upon 
  20. JANUS SYSTEMS unless made by a written agreement, executed by duly 
  21. authorized representatives of both JANUS SYSTEMS and Licensee.
  22.  
  23. LICENSED SOFTWARE AND DOCUMENTATION LICENSE
  24.  
  25. The SOFTWARE is protected by copyright laws and international copyright treaties,
  26. as well as other intellectual property laws and treaties.  The SOFTWARE is licensed, not sold.
  27.  
  28. I.  JANUS SYSTEMS hereby grants Licensee a non-exclusive, non-transferable
  29.     license to use the installed computer software (the "Licensed
  30.     Software") and the associated documentation (the "Documentation")
  31.     for a period of thirty (30) days after installation (the
  32.     "Licensing Period"), subject to the limitations set forth in
  33.     this Agreement (the "License").  Licensee may use the Licensed
  34.     Software only on one central processing unit with one input
  35.     terminal (the "Central Processing Unit") .  All right, title and
  36.     interest to the Licensed Software and the Documentation are, and
  37.     shall remain, in JANUS SYSTEMS or JANUS SYSTEMS licensors, as the case may be.
  38.     Licensee have no right of access to the source code of the
  39.     Licensed Software.  Licensee is not entitled to updates or
  40.     upgrades of the Licensed Software or Documentation.
  41. II. Licensee may not alter, assign, create derivative works,
  42.     decompile, disassemble, distribute, lease, modify, reverse
  43.     engineer, sublicense, transfer or translate in any way the
  44.     Licensed Software or Documentation.
  45. III.Licensee MAY NOT COPY OR REDISTRIBUTE the Licensed
  46.     Software or Documentation.  After the Licensing Period, Licensee 
  47.     shall delete the Licensed Software and the Documentation from the 
  48.     Central Processing Unit.
  49. IV. Licensee may create application software using the Licensed
  50.     Software, including the trade secrets and confidential information
  51.     of JANUS SYSTEMS, provided the application software created shall reside
  52.     only on the Central Processing Unit.
  53. V.  If either the Licensed Software or Documentation is used in any
  54.     way not expressly and specifically permitted by this License,
  55.     then the License shall immediately terminate.  Upon the
  56.     termination of the License, Licensee shall thereafter make no
  57.     further use of the Licensed Software or Documentation, and
  58.     Licensee shall delete all licensed materials from the Central
  59.     Processing Unit.
  60.  
  61. WARRANTIES
  62.     NO WARRANTY ON LICENSED SOFTWARE OR DOCUMENTATION. 
  63.  
  64. I.  JANUS SYSTEMS licenses the Licensed Software and Documentation solely on
  65.     an "AS IS" basis without warranties of any kind, such as
  66.     warranties of merchantability or fitness for any particular
  67.     purpose.  The entire risk of quality and performance is with
  68.     Licensee.  The Software and Documentation are not represented to
  69.     be error-free.  If either the Licensed Software, Documentation
  70.     or both prove to be defective, Licensee assumes the entire cost
  71.     of all servicing, correction or repair.
  72. II. The foregoing warranty gives Licensee specific legal rights, and
  73.     Licensee may also have other rights which vary from state to
  74.     state.  Some states do not allow the limitation or exclusion of
  75.     implied warranties, so the above limitations may not apply to
  76.     Licensee.
  77. III.In no event shall JANUS SYSTEMS be liable for any other obligations or
  78.     liabilities including, but not limited to, liability for damages
  79.     (whether general or special, direct or indirect, consequential,
  80.     incidental, exemplary), or for any claim for the loss of profits,
  81.     business or information, or damage to good will even if JANUS SYSTEMS has
  82.     been advised of the possibility of such damages.  In any event,
  83.     JANUS SYSTEMS maximum liability shall be limited to the amount of the
  84.     purchase price.  Some states do not allow the limitation or
  85.     exclusion of incidental or consequential damages, so the above
  86.     limitations may not apply to Licensee.
  87.  
  88. RESTRICTED RIGHTS
  89. The Licensed Software and Documentation have been developed
  90. exclusively at private expense, and are provided with RESTRICTED
  91. RIGHTS.  Use, duplication or disclosure by the Government is subject
  92. to restrictions as set forth in subparagraph (c)(1)(ii) of the
  93. Rights in Technical Data and Computer Licensed Software clause at
  94. DFARS 252.227-7013.  JANUS SYSTEMS is the  Contractor, and is located at
  95. Prol. Corregidora Nte # 907-2, Queretaro, Qro, Mexico, (52-42) 20-77-77.
  96.  
  97. MISCELLANEOUS
  98. This Agreement shall be considered severable, and if for any reason
  99. any term or condition is determined to be invalid, illegal or
  100. unenforceable under current or future law, such invalidity shall not
  101. impair the operation of, or otherwise effect, the valid terms and
  102. conditions of this Agreement, so long as the intent of this Agreement
  103. is maintained.
  104.  
  105. This Agreement shall be governed by, construed and enforced in
  106. accordance with the laws of the State of Queretaro,Mexico.
  107. The parties consent to the personal jurisdiction of the State of 
  108. Queretaro,Mexico and agree that any legal proceedings arising out
  109. of this Agreement shall be conducted solely in such State.
  110.  
  111. No action, regardless of form, arising out of this Agreement may be
  112. brought by either party more than one (1) year after a claim has
  113. accrued.
